Last update: July 23, 2026

1. Purpose

These Terms and Conditions of Use (“Terms”) govern access to and use of the Split’n’Share digital platform (“Platform”), accessible via website, mobile application, web app or other digital channels that may be made available. Split’n’Share is a digital platform that allows users to create, organize, manage and participate in events, communities and shared experiences, with features for participant management, payments, ticketing, cost splitting, subscriptions, marketplace and communication tools. By using the Platform, registering, creating an account, participating in an event or purchasing services through Split’n’Share, the User declares to have read, understood and fully accepted these Terms. If the User does not intend to accept these Terms, they may not use the Platform. Note: the legally binding version of these Terms is the Italian version.

2. Definitions

For the purposes of these Terms: Platform: the Split’n’Share digital service, accessible via web, mobile application or other digital tools. User: any natural or legal person who accesses the Platform or uses the services offered. Organizer: the User who creates, publishes or manages events, communities, activities, experiences or initiatives through the Platform. Participant: the User who registers, participates, purchases a ticket, joins a community or takes part in an event or experience published on the Platform. Community: a thematic digital space created by an Organizer, which Users can join free of charge or for a fee, under the conditions established by the Organizer. Event: any activity, experience, meeting, trip, tournament, party, dinner, workshop, initiative or other form of collective participation published on the Platform. Content: texts, images, videos, descriptions, comments, reviews, messages, information, files or other materials uploaded, published or shared by Users. Marketplace: the area of the Platform through which services offered by third-party providers may be presented or purchased. Paid services: features, subscriptions, tickets, fees, participation quotas, marketplace services or other services that can be purchased through the Platform.

3. Usage requirements

Use of the Platform is reserved for Users of legal age or otherwise possessing the legal capacity necessary to enter into binding contracts under applicable law. By using the Platform, the User declares to be at least 18 years old or to be authorized by those who exercise parental responsibility, where permitted by applicable regulations. Split’n’Share reserves the right to limit, suspend or prevent access to the Platform or to specific features if it considers that the User does not meet the required conditions.

4. Registration and account

Access to certain features of the Platform may require registration by creating a personal account. The User undertakes to provide truthful, complete, up-to-date information that does not belong to third parties. It is prohibited to create accounts using false data, the identity of others or unauthorized information. The User is responsible for safeguarding their access credentials and for any activity carried out through their account. In case of unauthorized use of the account, credential theft or suspected security breach, the User must promptly inform Split’n’Share. Split’n’Share reserves the right to suspend, limit or delete accounts created or used in violation of these Terms, the law or the rights of third parties.

5. Services offered

Split’n’Share provides Users with digital tools to: • create, publish and manage events; • create and manage communities; • invite and coordinate participants; • manage registrations, fees, tickets and payments; • split costs and expenses among participants; • access messaging, chat and communication tools; • use reputation, review and ranking features; • access services and providers through the marketplace; • use premium features, subscriptions or advanced tools for organizers. Available features may vary based on the type of account, the plan subscribed, technical availability, the evolution of the service or the commercial choices of the Platform. Split’n’Share reserves the right to modify, update, suspend or discontinue one or more features of the Platform, in compliance with applicable regulations.

6. Role of Split’n’Share

Split’n’Share provides a technological infrastructure that allows Users to organize, manage, promote and participate in events, communities and shared experiences. Unless otherwise expressly indicated, Split’n’Share is not the organizer of events published by Users, does not directly provide the activities proposed by Organizers and is not a party to the contractual relationship established between Organizer and Participant. The Organizer remains solely responsible for the organization, management, quality, safety, execution, cancellation, modification, refund and legal compliance of the event or community created through the Platform. Split’n’Share may intervene for technical purposes, security, moderation, fraud prevention, User protection, payment management or compliance with the law.

7. Payments, fees, tickets and commissions

Payments made through the Platform may concern: • event participation fees; • ticket purchases; • membership in paid communities; • Platform subscriptions; • premium services; • services purchased through the marketplace; • splitting of costs and expenses among participants. Payments are processed through third-party payment providers, including Stripe or other operators that may be integrated. The User accepts that payment may also be subject to the terms and conditions of the payment provider used. Split’n’Share may apply service commissions on transactions carried out through the Platform. The amount of the commissions, where applicable, is indicated before payment confirmation. The automatic distribution of payments, the splitting of costs or the transfer of fees to designated recipients takes place according to the settings defined by the Organizer and according to the technical methods allowed by the payment provider. Split’n’Share is not responsible for delays, blocks, checks, withholdings, refusals, chargebacks, disputes or limitations arising from the payment provider, financial institutions, anti-money laundering regulations, KYC checks or other legal obligations. The conditions applicable to the right of withdrawal and to refunds for purchases made by the User acting as a consumer are governed by the section “Consumer right of withdrawal and digital services” of these Terms.

8. Subscriptions and recurring services

The Platform may offer subscription plans, premium features, paid communities or recurring services on a monthly, semi-annual, annual or other periodic basis indicated at the time of purchase. Unless otherwise indicated, subscriptions automatically renew at the end of each period, by charging the registered payment method, until cancellation by the User. The fee applied is the one indicated at the time of purchase or renewal; any price changes will be communicated in advance, and the User may cancel before they take effect. The User may cancel the subscription at any time, without penalty, through their account area or according to the methods indicated by the Platform. Cancellation takes effect from the following billing period. Following cancellation, the subscription does not renew and no further charges are made; the User nonetheless retains access to the plan and to the paid features until the end of the period already paid, after which the account reverts to the free or base plan. Cancellation does not entitle the User to a refund, in whole or in part, of the subscription period already paid and being used, except for mandatory legal obligations. The conditions and limits of refunds and of the right of withdrawal are set out in the section “Consumer right of withdrawal and digital services”. In case of non-payment, unauthorized payment, expired card, chargeback or other billing issue, Split’n’Share may suspend or limit access to paid features, without prejudice to the User’s ability to regularize their position.

9. Consumer right of withdrawal and digital services

The provisions of this section apply to the User acting as a consumer, i.e. for purposes unrelated to any business, commercial, craft or professional activity carried out, pursuant to Italian Legislative Decree No. 206 of 6 September 2005 (“Consumer Code”) and to the relevant European Union law. Right of withdrawal. For distance contracts relating to subscriptions and digital services of the Platform, the consumer generally has the right to withdraw within fourteen (14) days from the conclusion of the contract, without giving any reason and without costs other than those provided by law (Article 52 of the Consumer Code). Request for immediate activation and loss of the right of withdrawal. Subscriptions and digital services of the Platform are provided through immediate activation. By confirming the purchase and giving express consent to the immediate start of performance, the consumer expressly requests that execution of the service begin during the withdrawal period and acknowledges and accepts that, upon full performance of the service, they will lose the right of withdrawal, pursuant to Articles 51(8) and 59(1)(a) and (o) of the Consumer Code. Effects of withdrawal exercised after the start of the service. Where the conditions are met and the consumer exercises the right of withdrawal after having requested the immediate start of the service and before completion of performance, they shall pay an amount proportionate to the service provided up to the moment of communication of the withdrawal, pursuant to Article 57 of the Consumer Code. Exclusion of refund. As a result of the above, and without prejudice to any mandatory legal provision, no refund, in whole or in part, is provided of the amount already paid for the subscription period activated and used. It is understood that, upon cancellation, the User retains access to the plan until the end of the period already paid. Legal guarantee of conformity. The rights granted to the consumer by the legal guarantee of conformity of digital content and services (Articles 135-octies et seq. of the Consumer Code) in cases of lack of conformity of the service, as well as any other remedy mandatorily provided by law, remain unaffected. How to exercise. Where the right of withdrawal is still exercisable, the consumer may communicate it by an explicit statement sent through the support channels indicated on the Platform or by using the model withdrawal form provided by applicable regulations.

10. Marketplace and third-party providers

The Platform may integrate a marketplace through which Users can view, book or purchase services offered by third-party providers. Services offered by third-party providers are provided under the exclusive responsibility of the respective providers. Split’n’Share may facilitate the visibility, booking, payment or operational management of such services but is not responsible for the quality, availability, safety, compliance, timeliness or correct execution of the services offered by third parties, except as provided by law. The User is required to carefully read the conditions applicable to the third-party provider’s service before purchase or booking. Any complaints relating to services provided by third-party providers must be addressed to the provider concerned, without prejudice to the possibility for Split’n’Share to intervene for assistance, moderation, security or User protection purposes.

11. Intellectual property

Trademarks, logos, trade names, interfaces, design, texts, graphics, source code, databases, features, software and every other element of the Platform are the property of Split’n’Share or their respective owners and are protected by copyright, trademark and industrial property laws. It is prohibited to copy, reproduce, modify, distribute, sell, license, decompile, reverse engineer or use such elements without prior written authorization, except as permitted by law. Use of the Platform does not grant the User any intellectual property rights to the content, software, trademarks or materials of Split’n’Share.

12. Service availability

Split’n’Share is committed to keeping the Platform functioning, secure and accessible, compatibly with technical needs, maintenance, updates, security, force majeure or events not depending on its will. The Platform is provided “as is” and “as available”. Split’n’Share does not guarantee that the service will always be available, error-free, uninterrupted, free of vulnerabilities or compatible with every device, browser or operating system. Split’n’Share may temporarily suspend access to the Platform for maintenance, updates, security, malfunctions, technical needs or organizational reasons.

13. Limitation of liability

Within the limits permitted by law, Split’n’Share is not liable for: • indirect damages, loss of profit, loss of data, reputational damage or consequential damages; • events, communities or services created, managed or provided by Organizers; • services offered by third-party providers through the marketplace; • behaviors, statements, omissions or breaches by Users; • cancellations, delays, modifications, non-execution or organizational problems relating to events; • problems arising from payment providers, banking institutions, third-party platforms or external services; • improper use of the Platform by Users. All mandatory liability provided by law remains unaffected, including cases of willful misconduct, gross negligence, personal injury or violations of mandatory rules.

14. Prohibited content, moderation and sanctions

The Platform may not be used to publish, share or disseminate illegal or harmful content. In particular, it is prohibited to publish: • sexual material involving minors, in any form (Articles 600-ter and 600-quater of the Italian Criminal Code); • glorification of, incitement to or threats of violence, including terrorism; • incitement to hatred or discrimination based on ethnicity, religion, gender, sexual orientation, disability or other personal conditions; • harassment, threats, intimidation or persecutory behavior towards other Users, including cyberbullying; • nudity and sexually explicit content; • spam, scams, fraud or deceptive commercial activities; • any other content contrary to the law, including the non-consensual dissemination of intimate images and the violation of third-party rights. Sanction system. Violations are sanctioned through a progressive warning system (“strikes”): upon the first strike the User receives a formal warning; upon the second the account is suspended (the User retains read-only access but may not create content or take part in activities); upon the third the account is closed. Each measure is communicated to the User via email, indicating the content concerned and the rule violated, as provided by Article 17 of EU Regulation 2022/2065 (“Digital Services Act”). For content of criminal relevance — in particular material involving minors, incitement to violence or terrorism and other serious offenses — removal is immediate and entails the closure of the account without notice, in addition to reporting to the competent authority where required by law. Reports. Any User may report content they consider prohibited through the dedicated “Report” function available on the Platform. Reports are examined with priority proportionate to the severity of the reported category, in accordance with Article 16 of the Digital Services Act. Review. The User subject to a removal, a strike or a suspension may request a review of the decision through the complaint function available in their account or through the support channels. The review remains accessible even during suspension. Preservation of evidence. Content removed for suspected criminal relevance may be preserved in a restricted area, not accessible to the public, for the sole purpose of making it available to the judicial authority, as described in the Privacy Policy. Protection of minors. In cases of cyberbullying against minors, the minor over fourteen years of age or the person exercising parental responsibility may request the blocking or removal of the content: the Platform acts within forty-eight (48) hours of the request, pursuant to Italian Law No. 71 of 29 May 2017.

15. Account suspension and deletion

The User may request the deletion of their account at any time through the profile settings or via a request to customer support. Deletion of the account entails deactivation of access to the Platform and removal or anonymization of personal data, except for retention obligations provided by law, tax, accounting, anti-fraud, security, judicial protection or other legitimate obligations. Split’n’Share may suspend, limit or delete the User’s account in case of: • violation of these Terms; • illegal, abusive or fraudulent use of the Platform; • publication of prohibited content; • harmful behavior towards other Users; • non-payment; • requests from authorities; • security needs, fraud prevention or protection of the Platform. Where possible and except in urgent or serious cases, Split’n’Share will inform the User of the reasons for the suspension or deletion. Suspensions and account closures resulting from content violations are governed by the section “Prohibited content, moderation and sanctions”, which sets out the criteria, communications and review options.

16. Privacy and cookies

The processing of Users’ personal data is governed by the Privacy Policy and Cookie Policy available on the Platform, which constitute separate documents from these Terms. By using the Platform, the User declares to have read the privacy policy and, where required, to have expressed their preferences regarding cookies and tracking tools.

17. Communications

Communications between Split’n’Share and the User may take place via email, in-app notifications, notices on the Platform or other channels indicated by the User. The User is responsible for keeping their contact details updated and accepts that communications sent to the email address associated with the account are considered validly received.

18. Changes to the Terms

Split’n’Share reserves the right to modify these Terms at any time, including for regulatory adjustments, evolution of the service, technical, commercial or organizational changes. Changes will be communicated through the Platform, via email or by other suitable means. Continued use of the Platform after the communication of the changes constitutes acceptance of the new Terms, without prejudice to the User’s right to cease use of the service or to delete their account. In case of substantial changes affecting the rights or obligations of the User, Split’n’Share may require a new express acceptance.

19. Applicable law and jurisdiction

These Terms are governed by Italian law. For any dispute arising from the interpretation, execution or validity of these Terms, the competent court shall be: • for Users qualifying as consumers, the court of the place of residence or domicile of the consumer, where mandatorily provided by applicable regulations; • for professional Users, companies, business organizers, providers or persons not qualifying as consumers, exclusively the Court of Milan, except as otherwise mandatorily provided by law.

20. Contacts

For requests, reports, assistance or communications relating to these Terms, the User may contact Split’n’Share through the channels indicated on the Platform.

21. Final clauses

Any invalidity, nullity or ineffectiveness of one or more clauses of these Terms does not entail the invalidity of the remaining provisions, which will continue to have effect to the extent permitted by law. The failure by Split’n’Share to exercise a right provided by these Terms does not constitute a waiver of such right. These Terms constitute the agreement between Split’n’Share and the User regarding the use of the Platform, without prejudice to further specific conditions applicable to individual services, plans, subscriptions, marketplace, events or communities.
